About the Workshop

Effective 1 June 2026, the UAE’s new Civil Transactions Law introduces updated rules governing contract formation, interpretation, performance and enforcement, replacing the 1985 law that has shaped commercial dealings for nearly four decades. While much of the established legal framework remains intact, several important changes have practical implications for businesses, particularly in contract negotiations, the interpretation of standard terms, and the remedies available when a counterparty fails to perform its obligations. This Practical session will explore the key changes, their implications for day-to-day commercial transactions, and the steps businesses can take to navigate the new legal landscape with greater confidence.

Language: English

Objectives

The participants will gain better understanding of:

  • What Has Changed, and What Has Not: A clear sense of which developments matter most to day-to-day commercial dealings, and which familiar principles continue largely as before.
  • Sources of Law and Public Policy in the UAE: How courts decide disputes where the legislation is silent and which categories of rule sit outside what parties can vary by agreement; however their contract is drafted.
  • Pre-Contract Obligations and Negotiating with Confidence: How expectations of good faith, disclosure and confidentiality during negotiations affect what businesses share and promise, and how they can step away fr om a deal.
  • Contractual Framework and Classification of Contracts: Why standard terms of business may be treated differently from negotiated contracts, and why unclear drafting can work against the business that r elies on it.
  • Force Majeure and Exceptional Circumstances: The practical difference between events that prevent performance and changed circumstances that make it excessively burdensome, implications of each event, and what businesses should r ecord and communicate.
  • Assessment of Damages and Quantum Questions: How compensation are assessed and agreed damages clauses work in practice, including when a court may adjust the agreed amount, and what this means for commer cial risk.
  • Impact on Existing Business and Contracts: which existing contracts may be impacted by the New Law; what standard terms and internal templates should be reviewed to accommodate the new statutory framework.
  • Key Changes on Certain Business sectors: Illustrations from construction, real estate, healthcare and distribution, followed by a practical checklist for identifying contracts, templates and practices worth reviewing.
